There are many legal issues to consider before and during the acquisition of physician practices by hospitals, including:
- Fair market value: The value of the practice and compensation paid to physicians must be fair market value. No value can be placed on any aspect of volume or the value of referrals.
- Stark law: Physicians in practices that are being acquired tend to make referrals to the hospital acquiring the practice. Because Stark law places certain restrictions on these activities, care must be taken to structure the transaction appropriately.
- Anti-kickback law: The federal anti-kickback law states that a person is prohibited from knowingly and willfully soliciting or receiving, offering or paying any remuneration in return for referring or inducing referrals for goods and services paid for under federal government programs. The parties to the transaction must clarify that the intent of the hospital acquiring the physician practice is not to induce referrals.
